Master Service Agreement

PLOUGH CREATIVE CO. | TERMS & CONDITIONS

This Master Service Agreement (the “Agreement”) is entered into by and between Plough Creative Co. (“Company”) and the individual or entity executing an invoice or project contract with the Company (“Client”). By signing this agreement, submitting an inquiry form, or making payment toward a Company invoice, the Client explicitly agrees to be bound by the following terms, conditions, and operational policies.

  1. RETAINER, PAYMENTS, & RESERVATIONS

1.1 Non-Refundable Retainer: To officially reserve an event date on the Company’s calendar, the Client must submit a signed copy of this agreement along with a non-refundable retainer fee equal to 50% of the total estimated proposal cost. No dates are held or guaranteed until both the contract and retainer are received.

1.2 Final Balance: The remaining balance of the total invoice must be paid in full no later than 14 days prior to the scheduled event date. If the final balance is not paid by this deadline, the Company reserves the right to cancel the services, retain the deposit, and release the date to other clients.

1.3 Last-Minute Bookings: Any bookings requested within 14 days of the event date must be paid in full immediately upon invoicing to secure materials and scheduling.

  2. CANCELLATION, RESCHEDULING, & POSTPONEMENT

2.1 Client Cancellation: If the Client cancels the event or terminates this agreement for any reason, the initial retainer deposit remains entirely non-refundable to cover pre-ordered custom inventory, design labor, and lost booking opportunities.

2.2 Rescheduling: If the Client requests to reschedule the event date, the request must be made in writing at least 14 days prior to the original event date. Accommodations are subject entirely to the Company’s availability. If the Company is available, a rescheduling fee of $50.00 may apply, and all previous payments will transfer to the new date. If the Company is unavailable on the new date, it will be treated as a Client Cancellation.

  3. CUSTOM PRINT PROOFS & GRAPHIC APPROVALS (FOR BANNERS)

3.1 Client Responsibility: The Client is solely responsible for verifying the accuracy of all text, spelling, layout, formatting, dimensions, and visual assets on the digital design proofs provided by the Company.

3.2 Final Digital Sign-Off: Once the Client provides a digital “Approval to Print” via email or client portal, the design is considered locked and final. The Company is not legally or financially liable for any typographical errors, low-resolution rendering of client-provided logos, or formatting discrepancies discovered after production.

3.3 Reprints: Any structural adjustments or reprints requested by the Client after the print proof has been approved will be billed entirely as an additional line item at the Client’s expense.

  4. ENVIRONMENTAL & OUTDOOR WEATHER POLICY (FOR BALLOONS)

4.1 Material Fragility: The Client acknowledges that latex and foil balloons are temporary, fragile geometric items. While the Company exclusively utilizes professional-grade, premium materials, the performance and lifespan of balloon decor cannot be mathematically guaranteed in outdoor environments.

4.2 Outdoor Hazards: Direct sunlight, wind, rain, humidity, and temperatures exceeding 80 degrees Fahrenheit cause latex materials to expand, pop, lose structural tension, or oxidize (developing a matte, velvety texture).

4.3 On-Site Adjustments: The Company reserves the right to alter the layout or enforce an alternative, sheltered setup location on-site if environmental conditions present an active safety hazard or threaten to immediately destroy the installation. No refunds, partial credits, or discounts will be issued for material deflation, shifting, or popping due to weather or outdoor elements beyond the Company’s control.

  5. DELIVERY, SITE ACCESS, & INSTALLATION LOGISTICS

5.1 Installation, Delivery, & Removal Fee:

A 15% Installation, Delivery & Removal Fee will be applied to the total order amount for services requiring on-site setup. This fee covers delivery to the event location, professional installation and setup of décor, and post-event removal and breakdown when applicable.

The fee is calculated at 15% of the order subtotal before applicable sales tax. No separate delivery fee will be charged unless otherwise stated in the client’s proposal or invoice.

Additional charges may apply for locations outside our standard service area, excessive travel, difficult site access, parking or venue fees, extended setup/removal requirements, or other circumstances requiring additional labor or transportation. Any applicable additional charges will be communicated prior to finalizing the booking.

The client is responsible for providing accurate event location information and ensuring reasonable access to the setup area at the scheduled delivery and installation time. Additional fees may apply when significant delays, restricted access, excessive stairs, long-distance carrying, or other site conditions substantially increase setup or delivery time. Installation, Delivery, & Removal fees are non-refundable once delivery has occurred.

5.2 Venue Access: The Client must guarantee that the Company has designated, unobstructed window of access to the venue for setup prior to the event start time. The Client is responsible for securing any necessary venue permissions, parking permits, or structural clearance codes.

5.3 Rigging & Surface Damage: The Company utilizing professional techniques (including heavy duty framing, weighted stands, or venue approved, non-damaging temporary command clips) for rigging. The Client releases the Company from liability for superficial scuffs, minor adhesive marks, or minor structural surface wear on venue walls, ceilings, or fixtures that result from standard installation or removal procedures.

  6. PROPERTY PROTECTION & RENTAL HARDWARE

6.1 Hardware Ownership: All backdrop frames, metal stands, grid rigs, neon signs, and heavy-duty structural hardware utilized in the styling are the exclusive rental property of the Company and are not purchased by the Client.

6.2 Strike & Post-Event Breakdown: If a breakdown/striking service is included on the invoice, the Company will return to dismantle and retrieve its hardware at the designated time.

6.3 Damage Fees: The Client assumes full financial liability for any theft, loss, structural bending, or destruction of the Company’s rental hardware while on the event premises. Damaged or missing equipment will be invoiced to the Client at full retail replacement cost.

  7. GENERAL LIABILITY WAIVER & INDEMNIFICATION

7.1 Safety Hazards: The Client agrees to hold harmless, release, and indemnify Plough Creative Co., its owners, independent contractors, and installation helpers from any and all physical injury, medical claims, or property damage claims. This waiver includes, but is not limited to, unexpected latex allergic reactions, choking hazards or bodily harm resulting from adults or children popping or misusing balloon debris, or tripping hazards related to structural frames.

7.2 Visual Exclusivity: To maintain the artistic and quality standard of the Plough Creative Co. brand, no third-party balloon kits, volunteer made arches, or consumer-grade materials may be mixed into or displayed directly adjacent to the Company’s installations on-site without prior written design consent.

  8. GOVERNING LAW

This agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Ohio. Any legal actions, disputes, or arbitrations arising from this contract must be filed and settled within a court of competent jurisdiction location in Franklin County, Columbus, Ohio.
